Welcome to Readcord! By using the Readcord mobile app (the "App"), you (the "User" or "You") agree to comply with and be bound by these Terms of Service (the "Agreement"). Please read them carefully before using the App. If you do not agree with these Terms, you must not use the App. We may update or change these Terms at any time, at our sole discretion. If we make material changes, we may notify you through the app or by other means. However, we are not obligated to provide individual notice. By continuing to use the app after any changes are posted, you agree to the revised Terms. We encourage you to check this page periodically to stay informed about any updates.

1. Definitions

• Readcord refers to the mobile application and all associated content, services, and features.
• User refers to any individual or entity using Readcord, whether by purchasing, downloading, creating, or interacting with any content on the platform.
• Content refers to any eBook, image, audio, or other digital material available through Readcord, whether purchased, downloaded, uploaded, or created by the User.

2. Account and Subscription

• To access certain features, including purchasing, downloading, or uploading Content, Users must create an account and choose a subscription plan.
• Access to certain Content and features is determined by the User's subscription level. If the User’s subscription changes (i.e., downgraded), the User may lose access to certain Content that was previously available under a higher-tier subscription.
• Readcord reserves the right to modify, discontinue, or change subscription plans at its discretion, with notice to Users.

3. License and Access to Content

• Purchasing eBooks: When you purchase an eBook through the App, you are granted a non-exclusive, non-transferable license to access and download the Content solely for personal, non-commercial use.
• Digital Downloads and Recording: Users may record themselves reading purchased eBooks and store these recordings on their personal device. These recordings are for personal use only and may not be redistributed.
• Custom Books: Users may create custom picture books by uploading their own images or using images provided by Readcord. Users must have full legal rights to any images or content they upload, and they agree not to upload any content that infringes the intellectual property rights of others.

4. Copyright and Intellectual Property

• Users acknowledge that all Content provided by Readcord is protected by copyright, trademark, and other intellectual property laws. By using the App, Users agree to respect these rights and not to infringe upon them.
• Users can only upload or use content that they own or have explicit permission to use. Users must ensure they have the necessary rights to use and distribute any images, text, audio, or other material uploaded to Readcord for creating custom content.

5. User Conduct

Users agree to comply with all applicable laws and regulations while using Readcord and will not:

• Engage in any activity that infringes on the intellectual property rights of others;
• Upload, post, or distribute offensive, harmful, or unlawful content;
• Attempt to hack, exploit, or damage the App or its infrastructure;
• Use Readcord for any commercial purpose, unless authorized by Readcord.

6. Data and Privacy

• By using Readcord, you consent to the collection, storage, and use of your personal data as outlined in Readcord's Privacy Policy.
• Readcord may handle and store your eBook library and any audio data you create or upload on the platform. This data will be used to provide the features of the App, including access to purchased Content and your recorded files.

7. Changes to Subscription or Content Access

• Your subscription level determines your access to certain materials. If you downgrade your subscription or if your subscription expires, you may lose access to content you previously had access to.
• If you lose access to any material due to changes in subscription, Readcord will not be responsible for any lost Content, and you will not be entitled to a refund for any Content you no longer have access to.
• Purchased eBooks will remain accessible for viewing to Users, but the audio recording and playback features of that eBook may not be available if access is no longer sufficient due to the User’s downgrading of subscription services.

8. Indemnification

You agree to indemnify, defend, and hold harmless Readcord, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising from:

• Your violation of these Terms;
• Your use of the App, including uploading or creating content that infringes upon the rights of others;
• Your breach of any representations or warranties made herein.

9. Limitation of Liability

• To the fullest extent permitted by law, Readcord shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the App or any Content, including but not limited to loss of data or loss of profit.
• Readcord’s total liability to you, whether in contract, tort, or otherwise, shall be limited to the amount you have paid for the App in the 12 months preceding the claim.

10. Termination and Rescission of Permission

• Right to Terminate Access: Readcord reserves the right to suspend or terminate your access to the App, in whole or in part, at its sole discretion, without notice, if you violate any of the terms outlined in this Agreement.
• Rescission of Permission: If your access is rescinded, you will lose the ability to use the App, access previously purchased Content, and any data associated with your account may be removed in accordance with the Privacy Policy.
• Any unauthorized actions or violations of this Agreement may result in permanent termination of your access to the platform, without refund.

11. Dispute Resolution

• Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, and not in a court of law.
• The place of arbitration shall be Clark County, Nevada, and the language of arbitration shall be English.

12. Miscellaneous

• Entire Agreement: This Agreement, together with the Privacy Policy and any other legal notices published by Readcord on the App, constitutes the entire agreement between you and Readcord regarding your use of the App.
• Severability: If any part of this Agreement is found to be invalid or unenforceable, the remaining portions will continue in full force and effect.
• Governing Law: This Agreement shall be governed by the laws of Clark County, Nevada, without regard to its conflict of laws principles.
• Cease of Operation: In the event that Readcord ceases operation users may no longer be able to access to content within the App. In such an event, active subscriptions will be terminated effective the date of the cease of operation and any appropriate refunds will be processed. Past purchases and subscriptions will not be eligible for refund.

13. Personal and Educational Use Only

• You agree to use Readcord solely for personal or educational purposes. You are prohibited from using the App or its Content for any commercial or for-profit purposes without prior written consent from Readcord.
• Any use of the App or its Content for purposes other than personal or educational use, including but not limited to resale, distribution, or exploitation of the Content, is strictly prohibited.

14. Misrepresentation and Exploitation of Content

• You agree not to misrepresent or distort the content provided through Readcord. This includes, but is not limited to:
  • Misrepresenting the authorship, ownership, or origin of the eBooks, audio recordings, or any other Content available on the platform;
  • Exploiting or altering any Content from the App in a manner that harms the integrity of the original work or the reputation of its creators;
  • Using the App or its Content in any way that might damage, disable, or impair the functionality of the platform, or interfere with other users' ability to use the App.
• You also agree not to:
  • Use Readcord or its Content to engage in activities that could harm the platform or the creators of the books, including spreading misinformation or exploiting the App in any unauthorized or malicious way.

15. Return Policy

• Purchases Made Via Third Party: Refund request on purchases processed by a third party will be determined by the judgment and discretion of the third party. This includes purchases made via in-app purchases by a provider.
• Refunds for Purchases: If you are dissatisfied with a purchased eBook, Readcord offers a 7-day refund period from the date of purchase, provided that the eBook has not been read or fully downloaded.
  • To qualify for a refund, the book must remain unread and unrecorded. Once the eBook has been read or accessed in any way, the refund request will not be processed.
• Other Requests: Refund requests outside of the 7-day window or for books that have been read may be considered on a case-by-case basis but are not guaranteed.
  • Any request for a refund outside of the specified terms will be evaluated at the sole discretion of Readcord.
• Refunds not handled by a third party will be processed to the original method of payment within 30 days.
